The customer acknowledges that all intellectual property rights related to the products, designs, models, trademarks, trade names, works, images, texts, and other elements associated with Nouvel are the exclusive property of Nouvel. Therefore, the customer does not acquire any ownership, recognition of rights, assignment, or license as a result of the commercial relationship.
These terms and conditions are governed by the laws of the United Mexican States.
WHOLESALE ORDERS
Nouvel accepts Transfer wire as payment method for Wholesale & Bespoke orders.
Product prices are those quoted by the sales and/or customer service representative. All quotations must be signed by the customer.

The customer acknowledges that trademarks and designs are property of Nouvel, unless otherwise stated. The customer does not acquire any ownership or license over these trademarks designs through the commercial relationship, unless otherwise stated.
These terms and conditions are governed by the laws of the United Mexican States.
LUXURY PACKAGING AND ARCHITECTURE ORDERS
For the purposes of these terms and conditions, the following definitions shall apply:
a) SUPPLIER: Nouvel Studio, S.A. de C.V.; Nouvel Glass, S.A. de C.V.; Nouvel Glass, LLC; Pavisa France SAS
b) CLIENT: The individual or legal entity that purchases the products.
The CLIENT must notify the SUPPLIER of their acceptance or rejection of the purchase order within five (5) business days from the date of receipt.
If no such notification is made, the purchase order shall be deemed automatically accepted.
The CLIENT may cancel a purchase order provided the following conditions are met:
The SUPPLIER reserves the right to cancel a purchase order in the following cases:
The CLIENT agrees to pay the SUPPLIER the price stated in the purchase order and the corresponding invoice, within the deadlines established in the order confirmation.
In the event of late payment, a conventional monthly interest of 6% plus VAT will apply, starting from the due date until the payment is received.
Product prices shall be as agreed between the parties.
The parties agree that, annually, prices will increase according to the National Consumer Price Index (INPC), calculated using the indices published by the National Institute of Statistics and Geography (INEGI) over the past twelve (12) months.
An additional increase may apply if there is an extraordinary rise in the costs of inputs used in the manufacturing of the products.
Inputs include: Electricity; Natural gas; Raw materials for manufacturing; Raw materials for decoration, packaging, and packing processes; Freight costs, among others.
Delivery shall be made according to the deadlines established in the production schedule agreed between the parties.
The SUPPLIER will notify the CLIENT when the products are ready for pickup at the facilities located at: Blvd. Tultitlán Pte. 202 A, Los Reyes, 54900 Tultitlán de Mariano Escobedo, Estado de México, México, or to such other address designated by the SUPPLIER.
If the CLIENT requires delivery to another location, this must be requested in writing. In such case, the products shall be considered virtually delivered to the CLIENT on the date of notification of readiness for pickup.
The CLIENT must have appropriate equipment for the pickup, and all related costs shall be borne by the CLIENT.
From the date of notification, the CLIENT will have a maximum and non-extendable period of five (5) calendar days for domestic sales and ten (10) calendar days for international sales.
If the products are not picked up within the specified time, the SUPPLIER will issue a monthly invoice for storage fees, amounting to 150.00 USD plus VAT per pallet, until the products are picked up.
This refers to the designs and quality and packaging specifications previously approved between the parties.
For projects that include design, the order shall be based on:
Any custom order or color combination is subject to SUPPLIER approval.
The SUPPLIER informs the CLIENT that the manufacturing process is artisanal and semi-automated, involving a manual component that may occasionally result in minimal variations in color, shade, and texture.
Some glass colors naturally experience color variation; if a specific shade is required, the CLIENT must notify the SUPPLIER in writing.
Please note that specific color requirements may lead to price modifications.
Products are packaged using appropriate materials and according to the following:
• Bulky products are shipped on specially designed pallets.
• When product size and volume allow, different products may be packaged together, unless otherwise specified in advance.
The CLIENT should be aware that the SUPPLIER's packaging is not waterproof. Therefore, the CLIENT must store the products under appropriate conditions to avoid damage to the packaging and its contents.
If special packaging is required (e.g., for air or sea transport), the CLIENT must notify the SUPPLIER in writing.
Note that special packaging requirements may result in price adjustments.
If there are packaging specifications signed by the CLIENT, any complaint or rejection will be reviewed by the quality department in accordance with those specifications. If validated, the damaged pieces will be replaced.
The CLIENT shall have a maximum period of 5 calendar days from the date of delivery of the Glass Products to review their quality and quantity.
The CLIENT shall have 30 calendar days to submit claims for internal product defects related to the quality of the packaging, stretch film, and pallet stability, provided that storage conditions are optimal in terms of temperature (high or low), humidity, and maximum stacking height. Otherwise, the CLIENT will lose the right to claim unless duly proven.
Accordingly, the CLIENT must send an email to: nouvelapt@nouvel.glass, copying their Sales and/or Customer Service Executive, briefly describing the issues found with the products. The email must include the order number and photographs of the damaged or incorrect products.
The SUPPLIER will respond within 72 hours of receipt, via the same communication channel, with return instructions.
For the return, the CLIENT must send the products to: Blvd. Tultitlán Pte. 202 A, Los Reyes, 54900 Tultitlán de Mariano Escobedo, Estado de México, México, or to such other address designated by the SUPPLIER. The products must be returned in their original packaging and must not be chipped or broken.
The SUPPLIER will notify the CLIENT upon receipt of the returned products and, if applicable, inform them of the replacement date.
This is subject to the SUPPLIER's validation of the reported issues. If confirmed, the identified pieces will be replaced.
If there are quality specifications signed by the CLIENT, the inspection will be carried out according to AQL standards and validated by the quality department. If approved, the identified pieces will be replaced.
Returns will not be accepted due to minor variations in color, shade, or texture of the product.
10.1. Luxury Packaging
Products carry a 12-month warranty from the date of delivery, subject to SUPPLIER validation. This warranty does not apply to products sold as clearance items, prototypes, samples, or the entirety of the architecture catalog. Since Nouvel has no control over installation conditions, methods of execution, the use of skilled labor during installation, or the proper use of accessory materials, no warranty can be extended to the material once it has been installed.
10.2. Architecture
Since the SUPPLIER has no control over the installation conditions, the manner of execution, the use of skilled labour in the installation and the correct use of accessory materials, no guarantee can be extended to the material after its installation.
11.1. B2B Clients – Manufacturing of Products
All molds, tools, dies, and other elements used in the production of customized products are the exclusive property of the SUPPLIER, even if they have been fully or partially funded by the CLIENT.
This ownership does not grant the SUPPLIER any rights over the trademarks, designs, trade names, works, distinctive signs, or other intellectual property rights belonging to the CLIENT.
The SUPPLIER therefore acknowledges that the designs and trademarks provided by the CLIENT for product manufacturing are the exclusive property of the CLIENT and agrees not to use, reproduce, or exploit them for purposes other than those expressly authorized within the commercial relationship.
11.2. B2C Clients – Purchase of Nouvel Brand Products
The CLIENT acknowledges that all intellectual property rights related to the products, designs, models, trademarks, trade names, works, images, texts, and other elements associated with Nouvel are the exclusive property of the SUPPLIER.
Therefore, the CLIENT does not acquire any ownership, recognition of rights, assignment, or license as a result of the commercial relationship.
These terms and conditions shall be governed by and interpreted in accordance with the laws of the United Mexican States.
